These Terms of Service (“Terms”) are a binding agreement between you and Forgemark Agency LLC, a Wyoming limited liability company (“Forgemark,” “we,” “us,” or “our”). They apply to your use of forgemark.agency (the “Site”) and to every order you place for our logo, brand identity, packaging, and related design services (the “Services”). By using the Site or placing an order, you agree to these Terms, our Privacy Policy, and our Refund and Revision Policy. If you do not agree, do not use the Site or order the Services.
You must be at least 18 and able to enter into a contract. If you order for a business, you confirm you have authority to bind that business, and “you” includes the business.
We design logos, brand identity systems, packaging and label artwork, and related brand assets for businesses. The Services are offered in packages, currently Startup Brand, Growth Suite, and Omnichannel. What each package includes is listed on the package page and in your proposal, order confirmation, or invoice (together, your “Order”). If the Site and your Order differ, your Order controls. Anything not listed in your Order is not included. We are happy to quote extras separately.
• Prices are in US dollars and shown before you pay.
• Payments are processed by Stripe. We never see or store your full card number.
• Work begins when we receive payment in full (or the deposit stated in your Order) and the details we need to start (see Section 5).
• You are responsible for any taxes, currency conversion fees, or bank charges that apply to your payment, unless your Order says otherwise. We collect sales tax where the law requires us to.
• If a payment fails or is reversed, we may pause work until it is resolved.
• If you have a billing concern, contact us first at hello@forgemark.agency. We resolve issues fast. Opening a chargeback without contacting us first slows things down for both of us.
• We estimate delivery of your first concepts within 5 business days after we receive your payment and your completed brief. Many projects move faster, but this is an estimate, not a guarantee.
• Each revision round is returned within 24 to 48 hours after we receive your feedback. Weekends and public holidays can add time.
• Delivery is digital only. We send files by email or a private download link. We do not ship physical goods.
• Timelines depend on you giving us what we need and sending feedback on time. Time spent waiting on you does not count against our estimates.
You agree to:
• give us an accurate, complete brief, including your business name, audience, style preferences, and any required text, product dimensions, dielines, or label specifications;
• give us only materials you own or have the right to use, such as logos, photos, fonts, and text;
• review concepts and send feedback promptly; and
• keep a copy of everything you send us.
If we do not hear from you for 14 days, we may pause your project. If we do not hear from you for 30 days, we may close it and deliver the work completed so far. The Refund and Revision Policy explains how this affects refunds.
Revisions, the first concept guarantee, cancellations, and refunds are covered in our Refund and Revision Policy, which is part of these Terms.
• Your deliverables. Once you have paid in full, we assign to you our rights in the final approved deliverables made for you, such as your final logo, brand identity files, and packaging artwork. You may use them for your business, commercially, anywhere in the world, with no further fees.
• Until you pay in full, we keep all rights. Previews and unapproved concepts are for your evaluation only.
• Unselected concepts and drafts. Concepts you did not select and our working files remain ours. You may not use them, and we will not give them to another client.
• Third party materials. Some work may include licensed fonts, stock images, icons, or mockups. We tell you when something needs a separate license, and the provider's license terms apply to it.
• Our tools. We keep ownership of our templates, processes, methods, and general know how.
• Portfolio. We may show your final approved work in our portfolio, case studies, and marketing. If you want your project kept private, tell us in writing before delivery.
We may use independent designers and other contractors to do the work. They are bound by written agreements that keep your information confidential and assign their work to us, so we can pass the rights to you. We stay responsible for the work we deliver to you.
• We create original work and do not knowingly copy other people's work.
• We do not give legal advice. We do not guarantee that a name, logo, or design is available to use or can be registered as a trademark, and we do not run trademark searches unless your Order says so. Before you launch or file for a trademark, talk to a qualified attorney.
• For packaging and labels, you are responsible for the accuracy and legal compliance of everything printed, including ingredient lists, claims, warnings, barcodes, and the rules that apply to your product and market (for example, in the United States and Canada). We lay out the content you give us. We do not review it for legal compliance.
• Printing varies. Colors on screens and in print can differ between printers and materials. We provide print ready specifications where your Order includes them, but we are not responsible for a third party printer's results. Always approve a printed proof before a full production run.
We treat your non public brief, files, and business information as confidential. We use them only to deliver your Services and share them only with team members and contractors who need them. This does not apply to information that is public, that you share publicly, or that we must disclose by law.
Do not use the Site or the Services for anything unlawful, deceptive, infringing, hateful, or harmful. We may decline or stop a project that breaks this rule. If we decline a project before starting work, we refund you in full. Do not attempt to disrupt, copy, or reverse engineer the Site.
We work hard on every project, but we do not promise any business result, such as more sales, brand recognition, or approval by a retailer, marketplace, investor, or any other third party. Design is subjective. Our Refund and Revision Policy is your remedy if you are not satisfied.
To the fullest extent the law allows, the Site and the Services are provided “as is” and “as available,” and we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
To the fullest extent the law allows:
• we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and
• our total liability for any claim relating to the Services or the Site is limited to the amount you paid us for the Order that gave rise to the claim.
Some places do not allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability that cannot be limited by law.
You are responsible for the materials you give us and for how you use the deliverables. You agree to defend and reimburse us for claims, losses, and costs (including reasonable legal fees) that arise from materials you supply that infringe or violate someone else's rights, or from your use of the deliverables in breach of these Terms or the law.
You may cancel an Order as described in the Refund and Revision Policy. We may suspend or end an Order, or your access to the Site, if you breach these Terms, fail to pay, or abuse our team. Sections that by their nature should continue (including ownership, confidentiality, disclaimers, limits of liability, and governing law) continue after an Order ends.
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules. If a problem comes up, email us first and give us 30 days to work it out in good faith. If we cannot resolve it, either of us may bring the claim in the state or federal courts located in Wyoming, and you and we consent to that jurisdiction. Nothing here limits any rights you have under mandatory consumer protection laws where you live.
By ordering, you agree we may contact you by email, through the Site, by phone, and, if you gave us your number and opted in, by text message about your project, orders, and support. Message and data rates may apply. Reply STOP to opt out of texts at any time. See our Privacy Policy for details.
We may update these Terms. The version in effect when you place an Order applies to that Order. For use of the Site, updated Terms apply once posted. The “Last updated” date above shows the latest version.
These Terms, your Order, our Refund and Revision Policy, and our Privacy Policy are the whole agreement between us. If a part is found unenforceable, the rest stays in force. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms without our written consent. Neither of us is liable for delays caused by events beyond our reasonable control, but payment obligations still apply.
